PUBLIC OFFER AGREEMENT
This Public Offer Agreement (hereinafter referred to as the “Agreement”) is a public offer of Marlen Ltd, hereinafter referred to as the “Seller”, addressed to any individual or legal entity, hereinafter referred to as the “Customer”, for the conclusion of a sales contract for goods on the terms set forth in this Agreement.
1. **SUBJECT OF THE AGREEMENT**
1.1. The Seller undertakes to sell and deliver the Goods to the Customer, and the Customer undertakes to accept and pay for the Goods in accordance with the terms of this Agreement.
1.2. The range, quantity, and price of the Goods are determined based on the Seller’s price list, which is an integral part of this Agreement.
2. **ORDER PLACEMENT AND DELIVERY**
2.1. The Customer places an Order for the purchase of Goods by filling out the Order Form on the Seller’s website or by contacting the Seller’s managers.
2.2. The Seller confirms the Order by sending an Order Confirmation to the Customer’s email address specified when placing the Order.
2.3. The Seller delivers the Goods to the address specified by the Customer or to the Seller’s warehouse for self-pickup by the Customer.
3. **PAYMENT TERMS**
3.1. The Customer pays for the Goods by bank transfer to the Seller’s account or by other payment methods specified on the Seller’s website.
3.2. The Customer pays for the Goods within the time frame specified in the Order Confirmation.
4. **RIGHTS AND OBLIGATIONS OF THE PARTIES**
4.1. The Seller undertakes to deliver the Goods to the Customer in accordance with the terms of this Agreement.
4.2. The Customer undertakes to pay for the Goods in accordance with the terms of this Agreement.
5. **TERM AND TERMINATION OF THE AGREEMENT**
5.1. This Agreement comes into force from the moment the Customer places an Order and is valid until the Parties fully fulfill their obligations under this Agreement.
5.2. The Agreement may be terminated by agreement of the Parties or in other cases provided for by the current legislation of the country where the Seller is registered.
6. **FINAL PROVISIONS**
6.1. All disputes and disagreements arising from this Agreement shall be resolved through negotiations between the Parties.
6.2. This Agreement is governed by the laws of the country where the Seller is registered.
By placing an Order on the Seller’s website or contacting the Seller’s managers, the Customer confirms that they have read, understood, and agree to the terms of this Public Offer Agreement.
